A titanium alloy possessing an equiaxial two-phase (.alpha.+.beta.) structure having an average grain size in the range of from 1 .mu.m to 10 .mu.m is obtained by a prescribed heat treatment of a titanium alloy material having a composition represented by the following formula 1,
